Colorado Enacts New Security Deposit Exception for Post-Closing Real Estate Occupancy Agreements

Volpe Law LLC is advising Colorado property stakeholders of a significant legislative update regarding residential real estate transactions. Senate Bill 26-054, signed by Governor Jared Polis, introduces a critical exception to the state’s existing security deposit cap. Effective January 1, 2027, this legislation specifically addresses post-closing occupancy agreements, allowing buyers and sellers greater flexibility when negotiating deposit amounts for temporary possession periods following a property sale.

Since August 2023, Colorado law has strictly limited security deposits to two months' rent to reduce financial barriers for tenants. However, this mandate unintentionally created complications for buyers who assume landlord responsibilities when a seller remains in the home post-closing. The new law acknowledges that these unique arrangements carry heightened financial exposure, providing buyers with the necessary protection against potential property damage or delayed move-outs that the previous rigid cap failed to adequately address.
